1. Definitions

For the purposes of these Terms and Conditions:

• "Bestari Labs", "we", "us", "our" refers to Bestari Labs, operating from 34 Jalan Sultan Mahmud, 20400 Kuala Terengganu, Terengganu, Malaysia.
• "Client", "you", "your" refers to any individual or organisation that accesses our website or engages our services.
• "Services" refers to the AI integration consulting, technical workshops, and analytics services offered by Bestari Labs, as described on our website and in individual service agreements.
• "Agreement" refers to these Terms and Conditions together with any separate service proposal or engagement letter.
• "Website" refers to the site accessible at bestarilabs.live.
• "Content" refers to all materials, documentation, reports, and deliverables produced during a service engagement.

2. Acceptance of Terms

By accessing our website or contacting us about our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are engaging on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

These terms apply to all visitors to our website and to all clients who engage Bestari Labs for services. We may update these terms from time to time — continued use of our website or services after any update constitutes acceptance of the revised terms.

Our services are intended for business professionals and organisations. We ask that individuals be at least 18 years of age to engage with us directly.

3. Service Description and Scope

Bestari Labs offers AI integration consulting and training services, including:

• AI-Driven Employee Engagement Analytics (from RM 670): Implementation support for AI-based HR analytics, covering data collection, model development, and dashboard design.
• Edge AI Deployment Workshop (from RM 1,800): A structured technical workshop covering AI deployment to edge devices, relevant to engineering and IoT teams.
• AI-Enhanced Vendor Management (from RM 3,580): Consulting and implementation for AI-powered vendor intelligence within existing procurement systems.

The precise scope, deliverables, timeline, and pricing for each engagement are set out in a separate written proposal or engagement letter, which forms part of the Agreement when accepted. Prices shown on our website are starting prices and may vary based on the complexity and specific requirements of your engagement.

We reserve the right to decline any enquiry or engagement at our discretion, without being required to provide a reason.

4. Client Responsibilities

To enable a successful engagement, clients agree to:

• Provide accurate and complete information relevant to the service scope
• Designate a point of contact with authority to make reasonable decisions during the engagement
• Respond to requests for input, feedback, or sign-off within agreed timeframes
• Ensure that any data provided to Bestari Labs is collected and shared lawfully, with appropriate consent or authorisation
• Use any deliverables or content only for lawful purposes and within the scope agreed
• Not misrepresent the origin or authorship of any deliverable produced by Bestari Labs

Acceptable Use of Our Website

When using our website, you agree not to:

• Attempt to gain unauthorised access to any part of the website or its backend systems
• Submit false, misleading, or fraudulent information through any form
• Use automated tools to scrape or harvest content from the website without our written permission
• Engage in any conduct that could damage the reputation or operations of Bestari Labs

5. Intellectual Property

Our Content

All content on our website — including text, design, graphics, and structural elements — is owned by Bestari Labs or used with permission. You may not reproduce, redistribute, or commercially exploit any part of our website content without our express written consent.

Engagement Deliverables

Unless otherwise agreed in writing, deliverables produced specifically for a client engagement (such as custom reports, dashboards, or documentation) are assigned to the client upon full payment of the agreed fees. Bestari Labs retains ownership of any pre-existing tools, frameworks, methodologies, or reusable components used in the delivery of services.

Client Data

Data and materials provided by you for the purposes of an engagement remain your property. We use such data only to deliver the agreed service and delete or return it as specified in the engagement agreement.

6. Payment Terms

All fees are quoted and invoiced in Malaysian Ringgit (RM) unless otherwise agreed. Payment terms are specified in the engagement proposal. Typically:

• A deposit of 50% of the total agreed fee is due prior to commencement of work
• The remaining balance is due upon completion or at agreed project milestones
• Workshop fees are payable in full prior to the scheduled session date

Invoices are payable within 14 days of issue unless otherwise stated. Bestari Labs reserves the right to pause or discontinue services where payment is significantly overdue, and to charge reasonable interest on late payments at a rate consistent with Malaysian law.

Refund Policy

Deposits are non-refundable once work has commenced. For workshops, cancellations made more than 5 business days before the scheduled date may be eligible for a full refund or rescheduling. Cancellations within 5 business days of a workshop may not be eligible for a refund, though we will consider reasonable circumstances on a case-by-case basis.

7. Confidentiality

Each party agrees to treat confidential information received from the other with reasonable care and not to disclose it to third parties without prior consent, except where required by law. This obligation continues for a period of two years after the completion or termination of an engagement.

Confidential information does not include information that is already publicly known, independently developed without reference to the other party's information, or disclosed with permission.

8. Disclaimers

Our website and services are provided on an "as is" and "as available" basis. While we take care to ensure the accuracy and quality of our work, we make no warranties — express or implied — regarding:

• The completeness or accuracy of information on our website
• The fitness of any service output for a particular business purpose
• Specific business outcomes or performance improvements arising from our services

AI-based tools and methodologies involve inherent variability and uncertainty. Bestari Labs makes no representations about specific outcomes, and clients should exercise their own judgement when acting on insights generated through our services.

9. Limitation of Liability

To the extent permitted by Malaysian law, Bestari Labs' total liability to any client in connection with a service engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.

We shall not be liable for:

• Indirect, incidental, or consequential losses
• Loss of revenue, profit, or business opportunity
• Losses arising from decisions made based on service outputs
• Delays or failures caused by circumstances outside our reasonable control

10. Termination

Either party may terminate an engagement by providing written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of written notice.

Bestari Labs may terminate an engagement immediately if a client engages in conduct that is unlawful, harmful to our team or reputation, or inconsistent with these terms.

Upon termination, all fees for work completed to the point of termination remain due and payable. The confidentiality provisions of these terms survive termination.

11. Governing Law and Disputes

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from these terms or from a service engagement will first be addressed through good-faith discussion between the parties.

If a dispute cannot be resolved informally within 30 days, the parties may agree to engage a neutral mediator. If mediation is unsuccessful, disputes will be subject to the jurisdiction of the courts of Malaysia, with Kuala Terengganu as the preferred venue.

12. General Provisions

• Entire Agreement: These terms, together with any engagement proposal accepted in writing, constitute the full agreement between the parties and supersede prior discussions.
• Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect.
• Waiver: A failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
• Assignment: Clients may not assign their rights under this agreement without our written consent. Bestari Labs may engage subcontractors to assist in service delivery while retaining responsibility for the engagement.
• Force Majeure: Neither party is liable for delays caused by circumstances outside their reasonable control, including natural events, public health emergencies, or utility outages.
